Welcome to the LumenCharge app! These Terms of Use (“Terms”) govern your access to and use of the LumenCharge mobile application (the “App”) and the services provided by LumenCharge Solutions Limited (“LumenCharge,” “we,” “us,” or “our”).

By accessing or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the App.

1. Account Registration and Use

• Eligibility: You must be at least 18 years old to create an account and use the App. By registering, you represent and warrant that you meet this age requirement.
• Account Information: You agree to provide accurate, current, and complete information during the registration process and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
• Prohibited Use: You may not use the App for any illegal or unauthorized purpose. You are solely responsible for your conduct and any data, text, files, information, usernames, images, graphics, photos, profiles, and other content that you submit, post, or display on or via the App.

2. Services and Functionality

• Charging Station Information: The App provides information about the location, availability, and pricing of EV charging stations. This information may be provided by third parties and may not always be accurate or up-to-date. LumenCharge is not responsible for any inaccuracies or for the availability of any charging station.
• Reservations: The App allows you to reserve a charging port. Reservations are subject to availability and may have time limits or fees. You are responsible for adhering to the reservation terms and for any charges incurred.
• Scan to Charge: The App allows you to initiate a charging session by scanning a QR code or entering a code. You are responsible for ensuring you have selected the correct charging port and for any charges associated with the session.

3. Wallet and Payments

• In-App Wallet: The App provides a digital wallet for paying for charging services. To fund the wallet, you must use our third-party payment provider, Paystack.
• Third-Party Payment Provider: All payment transactions are handled by Paystack. By using the wallet, you agree to be bound by Paystack’s terms of service and privacy policy. LumenCharge is not responsible for any issues related to payment processing, including but not limited to fraudulent charges, payment disputes, or data security breaches by the third-party provider.
• Billing and Charges: You are responsible for all charges, including any applicable taxes, fees, and surcharges, for all services purchased through your account. You agree that LumenCharge may charge your wallet for any services you use. All charges are non-refundable unless otherwise specified.

4. Intellectual Property

• App Content: All content, features, and functionality of the App, including but not limited to all information, software, text, displays, images, and the design, selection, and arrangement thereof, are owned by LumenCharge, its licensors, or other providers of such material and are protected by copyright, trademark, and other intellectual property laws.
• Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal, non-commercial use, in accordance with these Terms.

5. Disclaimers and Limitation of Liability

• Disclaimer of Warranties: THE APP AND ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LUMENCHARGE DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
• Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, LUMENCHARGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE APP OR THE SERVICES.

6. Indemnification
You agree to indemnify, defend, and hold harmless LumenCharge, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the App or your violation of these Terms.

7. Termination
We may terminate or suspend your account and access to the App at our sole discretion, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App will immediately cease.

8. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any dispute arising from these Terms will be resolved through arbitration in Lagos, Nigeria.

9. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the App or our website. Your continued use of the App after the changes become effective constitutes your acceptance of the revised Terms.
